Paragon Owner REDLattice Announces SPAC Merger at $1.25 Billion Valuation

REDLattice, the owner of cyber company Paragon, and Bold Eagle Acquisition Corp. publicly announced Monday a proposed merger valuing REDLattice at $1.25 billion before new funding. The companies said the transaction includes $335 million in committed capital, comprising $275 million in convertible notes and $60 million in stock. They said it could yield up to $610 million in gross proceeds if no holders redeem the SPAC's trust shares. REDLattice plans to use proceeds to refinance debt, make a final earnout payment linked to its Paragon acquisition, and fund growth. The merger is expected to close around year-end, subject to shareholder and regulatory approvals; its investor presentation identifies former IDF Unit 8200 commanders among Paragon's leaders.
