Terminal X Online signed a nonbinding memorandum to acquire 50.01% of Soho’s shares and voting rights for NIS 11 million. Soho sells design and lifestyle products online and through 12 concept stores. If the transaction closes, Terminal X would control Soho and appoint most of its directors; the memorandum also includes an option mechanism that could increase Terminal X’s stake later, subject to agreed conditions. Terminal X chief executive Nir Horowitz described the proposed combination as part of the group’s growth strategy and said Soho was a natural strategic fit.
