Rapac Energy Reportedly Agrees to Buy Majority Stake in Orot Yitzhak Power Project

Rapac Energy has reportedly signed an agreement to acquire 50.1% of the equity rights in the planned Orot Yitzhak power station in the Menashe Regional Council area. The sellers are Ari Real Estate, controlled by Tzachi Abu, and a private company belonging to Jackie Ben Zaken. The station has not been built, and the transaction has yet to be completed. The reported consideration ranges from approximately NIS 550 million to NIS 730 million, implying a project valuation of NIS 1.1 billion to NIS 1.46 billion. The final amount depends on the project's performance and progress, including its eventual scale. Ari currently owns 60% and Ben Zaken's company 40%. After completion, Rapac would hold 50.1%, Ari approximately 30% and Ben Zaken approximately 20%. At the lower valuation, Ari expects a profit of approximately NIS 330 million upon completion, with roughly another NIS 100 million at the higher valuation. These figures describe expected proceeds and profit, rather than a completed sale or booked earnings. Ari and Ben Zaken won the land tender in September 2025, paying NIS 362 million for 73.6 dunams designated for a power station. About three months before the current report, Ari disclosed progress at the National Infrastructure Committee on publishing plans and permit conditions for the access road, electricity corridor and pressure-reduction facility. A remaining planning question is whether the station will have 850 megawatts or 1,700 megawatts of capacity. Neighboring regional councils oppose construction but prefer one larger station to two smaller stations on adjacent sites. Transaction completion and the planning decisions remain outstanding; no precise construction or operating date was provided.
