Proofpoint CEO Aims to Assess IPO After Varonis Deal Closes

Proofpoint CEO Sumit Dhawan said the company aims to assess an initial public offering after completing its planned purchase of Varonis. In a Friday interview, he said closing the transaction and completing the regulatory process were the immediate priorities. Proofpoint agreed to buy Varonis for about $6.3 billion in cash, or $49.75 per share, under the previously announced deal. The companies expect the acquisition to close in the first half of 2027, subject to shareholder and regulatory approvals, and will operate independently until then.
