Proofpoint Agrees to Buy Varonis for $6.3 Billion

Proofpoint has agreed to acquire Varonis in an all-cash transaction valued at about $6.3 billion, with shareholders to receive $49.75 per share. Varonis's board unanimously approved the agreement, which requires shareholder and regulatory approvals and is expected to close in the first half of 2027. Varonis lists an Israeli office in Herzliya. The companies say the combination will bring together tools for protecting sensitive data and managing access by people and AI systems. They will operate independently until closing, after which Varonis would become privately held and leave Nasdaq.
