Mordechai Aviv Seeks Shareholder Approval for Chair to Serve as Interim CEO

Mordechai Aviv Construction Industries has asked shareholders to approve its chair, Ruth Ralbag, serving concurrently as interim chief executive. The proposal follows CEO Tzala Amour-Rosenblum's October 29 notification to the board that she wants to leave her post. In exchange filings disclosed later that evening, the company said she would continue as CEO until shareholders approve the arrangement. The company's notice said Amour-Rosenblum "wishes to end her tenure as the company's CEO." It did not give a reason for her decision. If approved, Ralbag's interim appointment would begin with shareholder authorization and end when a permanent CEO starts work or on December 31, 2027, whichever comes first. A special general meeting is scheduled for December 3 at 11:00 at the company's offices at 40 Agrippas Street in Jerusalem. Shareholders will vote separately on combining the chair and interim CEO roles and on updating Ralbag's terms of service and employment. The notice says the controlling shareholder alone cannot supply the required majority for authorizing the concurrent roles; the compensation resolution requires an ordinary majority. The record date determining shareholder entitlement is November 3. If the meeting lacks a quorum, it will be postponed to December 10 at 11:00 at the same address. Until the meeting, the documents are available for inspection at the company offices by prior arrangement, Sunday through Thursday, from 09:00 to 17:00.
